Terms of Sale

Note. Draft document covering a cross-border sale between a UAE-based seller and consumers in the US, UK and EU. A lawyer's review is recommended before final publication, in particular to confirm the governing law, mandatory consumer rights in each market (e.g. EU/UK statutory withdrawal rights for digital content, US state-level rules), and the enforceability of the chosen jurisdiction clause.

1. Background and seller

These terms govern the distance sales contract entered into between:

The author of the product's content is Dr. Luca Varcasia, MD, an Italy-licensed physician registered with the Medical Board (Ordine dei Medici) of Sassari, Italy, reg. no. 5876. Dr. Varcasia is not the seller: the purchase contract is formed exclusively between the Customer and Milionline Consulting FZCO.

2. Subject of the contract

The contract grants the Customer an indefinite right of access to an informational digital product called "The 30-Day Metabolic Reset", consisting of:

The product is purely informational and educational. It does not constitute and does not replace a personalized medical consultation, a medical examination, or a prescription. The Customer is invited to consult their own doctor before starting the protocol, especially in the situations listed in the disclaimer on the landing page and in the product itself.

3. Price and payment

The price of the product is $19.00 (nineteen US dollars), a one-time payment, inclusive of any applicable taxes under the relevant law.

Payment is made exclusively through the Whop platform (Whop Inc., United States), which acts as merchant of record and payment processor. Whop accepts the following methods:

Whop handles the transaction directly, issues the receipt to the Customer, and transfers the funds to Milionline Consulting FZCO after applying its service fees.

4. Formation of the contract

The contract is considered formed when the Customer:

  1. selects the product on the landing page;
  2. completes the checkout on the Whop platform by providing the required data;
  3. expressly accepts these Terms of Sale and the Privacy Policy;
  4. confirms payment;
  5. receives from Whop the purchase-confirmation email and access to the digital product.

5. Right of withdrawal (EU/UK consumers)

5.1 General rule

Consumers resident in the EU or UK generally have the right to withdraw from a distance contract, without giving a reason, within 14 days of the contract being formed, under applicable consumer-protection law.

5.2 Exception for digital content supplied immediately

That law also provides that the right of withdrawal is lost for the supply of digital content not on a tangible medium where performance has begun with the consumer's prior express consent and their acknowledgement that they thereby lose the right of withdrawal.

By making the purchase and accepting these Terms of Sale, the Customer:

Important. The Customer loses the statutory right of withdrawal at the moment they obtain access to the digital product after purchase. However, see Section 6 below for the additional 30-day "satisfaction or refund" guarantee, offered voluntarily by the seller in addition to any statutory rights.

5.3 How to exercise withdrawal (where applicable)

Where the right of withdrawal does apply (for example, if the Customer has NOT yet obtained access to the product), it can be exercised by:

The refund will be issued within 14 days of receiving the withdrawal notice, to the same payment method used for the purchase.

6. 30-day "satisfaction or refund" guarantee

In addition to any statutory rights, Milionline Consulting FZCO voluntarily offers a 30-day "satisfaction or refund" guarantee: if within 30 days of the purchase date the Customer is not satisfied with the product, they can request a full refund by writing to [email protected].

7. Limitation of liability and medical disclaimer

The product is purely informational and educational. It does not constitute, replace, or seek to replace:

The Customer is expressly invited to consult their own doctor before starting the protocol, in particular in the following situations:

To the extent permitted by applicable law, the seller and the content author are not liable for any health consequences arising from applying the protocol by individuals for whom it is not indicated. The Customer agrees to use the product at their own responsibility and within the limits of their own health condition, verified in advance with their own doctor.

8. Intellectual property

All content of "The 30-Day Metabolic Reset" (text, copy, editorial structure, illustrations, the product's HTML code) is owned by Dr. Luca Varcasia and/or Milionline Consulting FZCO and is protected by applicable copyright laws.

The Customer purchases a personal, non-transferable, non-sublicensable right of access to the product. The following are expressly prohibited:

Any unauthorized use will be pursued under applicable law.

9. Changes to these Terms of Sale

The seller reserves the right to amend these Terms of Sale, for example to align with new regulations or for operational needs. Changes take effect from the date of publication on the site and apply to purchases made thereafter. Purchases already completed remain governed by the terms in force at the time of purchase.

10. Governing law and jurisdiction

To the extent mandatory consumer-protection rules apply, an EU or UK consumer keeps the protection of the mandatory provisions of the law of their country of habitual residence, and may bring proceedings in the courts of that country.

For all other matters, and to the extent permitted by law, this contract is governed by the laws applicable to the seller's place of establishment. Nothing in this clause removes any mandatory statutory right available to the Customer as a consumer.

11. Alternative dispute resolution

EU/UK consumers may, as an alternative to court proceedings, use any applicable alternative dispute-resolution scheme available in their country. Use of such procedures is optional for the Customer and does not in any way limit access to the ordinary courts.

The service responds to messages relating to product access, billing, refunds, and general reports. Individual medical advice is not provided by email. For personal clinical matters, the Customer is invited to consult their own doctor.
